Terms of Service

The agreement between you and Netquirk Limited that governs your use of the VMgenie virtual server control panel. By creating an account or using VMgenie, you accept these terms.

1. Acceptance of these terms

These Terms of Service form a binding agreement between you and Netquirk Limited ("Netquirk", "we", "us"), a company registered in the United Kingdom. They govern your use of the VMgenie virtual server control panel, the related API at your panel's own address (for a hosted trial that is https://your-company.vmgen.ie; when self-hosted it is your own domain), and every VM, template, image, and resource provisioned through that panel.

By creating an account, accessing the panel, or using any VMgenie service, you confirm that you have read, understood and accepted these terms. If you do not accept them, do not use the service.

2. Description of the VMGenie service

VMGenie is a control panel for managing KVM-backed virtual servers ("VMs") on physical hardware ("servers") you operate yourself or that we operate on your behalf. The panel exposes a web UI and a REST API at /api/v1 for creating, configuring, starting, stopping and deleting VMs; uploading and syncing OS templates; managing IPv4 and IPv6 pools; and viewing usage and billing information.

VMGenie is a management layer. It does not host your data, your applications, or your customers' traffic beyond what the underlying compute and network you have purchased provide. You are responsible for everything you run inside a VM provisioned through the panel.

3. Accounts and eligibility

You must be at least 18 years old and legally able to enter into a contract in your jurisdiction to use VMGenie. When you create an account you agree to provide accurate, current and complete information, and to keep that information up to date.

You are responsible for keeping your API keys, panel login credentials and root passwords secure. Any action taken through an authenticated session is treated as having been taken by you. If you believe a credential has been compromised, rotate it immediately and contact our support team.

4. Acceptable use

You agree not to use VMGenie or any VM provisioned through it to:

  • violate any applicable law or regulation;
  • send unsolicited bulk email, run open mail relays, or operate as an anonymous remailer;
  • host or distribute malware, ransomware, phishing kits or other deliberately harmful software;
  • launch denial-of-service attacks, port scans against hosts you do not own, or traffic that exceeds the published bandwidth allowance of your plan;
  • host content that infringes intellectual property rights, or that is unlawful in the United Kingdom or in the jurisdiction of your end users;
  • attempt to gain unauthorised access to VMGenie infrastructure, other customers' VMs, or any third-party system.

We may suspend or terminate a VM, a server or your entire panel without prior notice if we reasonably believe you are using the service in a way that breaches this section.

5. Plans, billing and renewal

VMGenie is sold on subscription plans (Free, Standard, Pro and Business) as listed on the pricing page. Plan limits on vCPU, RAM, disk, IPv4 and IPv6 are checked before each VM is created; over-quota requests are rejected by the API with a clear error.

Paid plans are billed monthly or annually in advance. The fee for the next billing period is charged on the renewal date. You may cancel at any time from the panel settings; the service continues until the end of the period you have already paid for. Outbound bandwidth above the published allowance is billed monthly in arrears at the rate shown on the pricing page.

Prices are exclusive of VAT and any applicable sales tax. Invoices are issued automatically and are payable within 14 days of issue.

6. Intellectual property

VMGenie, the VMGenie logo, the panel UI and the panel API are the intellectual property of Netquirk Limited. We grant you a non-exclusive, non-transferable, revocable licence to use the panel and API to manage your own VMs for the duration of your subscription.

Your data, your VMs and any content you upload to them remain yours. You grant us a limited licence to host, copy, transmit and process that data only as required to provide the VMGenie service to you.

7. Warranty disclaimer

The VMGenie service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that the results obtained from using it will meet your requirements.

8. Limitation of liability

To the maximum extent permitted by law, Netquirk Limited's total aggregate liability for all claims arising out of or related to the VMGenie service in any 12-month period is limited to the amount you paid us for the service in that period. We are not liable for indirect, incidental, special, consequential or punitive damages, loss of profits, loss of revenue, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.

Nothing in these terms excludes or limits any liability that cannot be excluded or limited under applicable law.

9. Termination

You may terminate your account at any time from the panel settings or by contacting our support team. We may suspend or terminate your access to VMGenie if you breach these terms, if payment fails, or if we are required to do so by law. On termination, we will delete your account data within 30 days, unless we are required to retain it for legal or accounting reasons.

10. Changes to these terms

We may update these terms from time to time. When we do, we will change the "Last updated" date at the top of this page and, for material changes, notify you by email at least 14 days before the new terms take effect. Continued use of VMGenie after the new terms take effect constitutes acceptance of them.

11. Governing law

These terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer in a country where mandatory consumer protection laws apply, those laws will still give you the protection they require.
